Any client, financial, or proprietary process information provided to you as a potential purchaser, is Confidential. No party to this “Buy – Sell” process shall disclose to any person any Confidential Information which it receives from any other party and any Confidential Information so received by a party will be used only for the purposes for which it was disclosed – determining whether to make an offer to purchase or sell a trail book.
A party who receives Confidential Information may disclose such information to such of that party’s officers, employees, agents or advisers (collectively the “disclosees”) who need to know such information for their evaluation of the matters which are the subject of this process. Each party will ensure that the disclosees are bound by equivalent obligations of confidentiality as are contained herein and each party shall be responsible for and indemnify and continue to indemnify the other party for any claims, damages, costs or expenses incurred by such party (including any legal costs on the basis of a solicitor and his own client) arising out of or in any way related to any disclosure or use of such Confidential Information by the disclosees which is not authorised.
Any documents or other items supplied in the course of the discussions or negotiations the subject of this process remain or shall for the purpose of this process be regarded as confidential. Such documents will be returned promptly to the supplier, or destroyed, on demand and in any event at the conclusion of the discussions or negotiations. Any documents, work papers or other items prepared or produced by BBBSA for the purpose of the discharge by it of its retainer, shall for the purpose of be regarded as its property and may be retained by it.
This Agreement is governed by the laws of New South Wales. Each party irrevocably submits to the non-exclusive jurisdiction of the Courts of New South Wales and irrevocably waives any objection to the venue of any legal process on the basis that the process has been brought in an inconvenient forum.
“Confidential Information” means information in any form (whether written or oral) emanating directly or indirectly from a party to this process other than information which:
- is publicly known at the time of its disclosure.
- after disclosure to the recipient, has become publicly known other than through breach of this agreement.
